We can reserve the company name with the Secretary of State. The filing fee is $20 plus $20 to expedite processing. The State will reject any other filings that try to use the reserved name.Reservations last 120 days. The 1st name you selected that's available will be reserved for your exclusive use.
A member-managed LLC is managed by its owners. Manager-managed LLCs are managed only by owners designated as Managers and/or other parties designated as Managers. These management powers include matters such as negotiating mergers, authorizing a new line of business, moving business locations and closing operations. "Day-to-day operations" such as paying receivables, writing small checks, bookkeeping, etc. are generally delegated to employee personnel. These routine functions should not be confused with the broader powers instilled on Company Managers!
Common examples: the Director of a parent Company which owns the LLC;the Trustee of a Living Trust listed as an owner.

If the LLC has headquarters at a different location, or receives mail at an address other than the physical address, it can use a Post Office Box, a private mail box, or any other address (worldwide) to receive mail.
Idaho LLCs are required to have a registered agent. The agent (also called "resident agent", "statutory agent" or "agent for service of process") is a person or business designated to receive official documents for the company, including service of process and notices from the state such as renewal notices. The agent must have a physical address within Colorado. A Member or Manager of the LLC can be the agent, or you can appoint an outside person, such as a friend, a lawyer or a CPA. You can change the agent at any time for any reason.
