 Business Entity Formation

A registered agent located in Nevada is required for every LLC and Corporation. While the primary role of the registered agent is to receive legal notice for the company, (See Statute 86.261) it is extremely important to understand agents serve an equally important role of keeping certain records.

The agent should keep certified copies of the company’s formation / incorporation articles and the effective operating agreement or bylaws of the company as the situation may apply. The documents should be kept at their office. You can view Statute 86.241 regarding the documentation agents are responsible for maintaining.

In Nevada, the registered office of an LLC will be that of its registered agent. The LLC can do business from a separate address, but for legal purposes, the Secretary of State will send notices to the company at its registered office.
